Ellen Schulhofer, managing partner of the firm’s Las Vegas office, has advised public and privately held companies, and their boards of directors, special committees and management, in a broad range of corporate matters, including mergers and acquisitions, restructurings, corporate governance, general corporate representation, corporate finance and complex joint ventures. For over 30 years, she has represented borrowers, issuers and guarantors, as well as lenders, purchasers and underwriters, as Nevada counsel in numerous private and public offerings of debt and equity securities, financings and acquisitions and dispositions. Many of these transactions have occurred in the highly-regulated gaming industry, posing particular challenges and requiring specialized industry knowledge and experience, which is Ellen’s particular focus and expertise.

As a member of the firm’s Executive Committee and former co-managing partner of the firm, Ellen has extensive leadership and strategic counseling experience which, together with her calm and pragmatic approach, is invaluable to her clients.

As an active member (and former Vice-Chair) of the Executive Committee of the Business Law Section of the State Bar of Nevada for nearly 25 years, Ellen has drafted or participated in the drafting of many important revisions to Nevada’s corporate, LLC and other business statutes during this period.

A strategic legal partner for today’s corporate entities, Brownstein’s Business & Corporate Advisory Group offers all the service of an in-house counsel with all the flexibility of an outside law firm. Acting as general counsel, we bring deep business experience representing companies in all stages of development to our clients, often managing all of their ongoing legal needs. If required, we can provide dedicated, round-the-clock support, including placing attorneys within a client’s organization.

Our business and corporate attorneys work with corporations, partnerships and LLCs on a full range of legal issues—acquisition opportunities, asset dispositions, public and private financing, bankruptcy and corporate restructuring, federal policy compliance, securities law compliance, intellectual property issues, antitrust matters, private equity deals, employment law and tax concerns.

Whether your organization is an established business or a startup, we offer both strategic and operational legal guidance. For established organizations, we identify growth strategies, investigate methods for increasing shareholder value and complete capital market offerings. For new ventures, we help design corporate structures, raise capital, develop merger opportunities and define exit strategies. For maturing companies, we consult on succession planning, sale of the company, strategic mergers and management buyouts.

When necessary, we tap the resources of the firm’s Litigation Department to represent clients in civil court and in front of regulatory agencies, as well as extensive legal resources in real estate, municipal finance, legislation and environmental law.

Brownstein Hyatt Farber Schreck is a unique law firm. Walk into any of our offices and you’ll immediately recognize a different type of energy. Complacency doesn’t have a place here. Flexibility and inspiration do. Our culture and enthusiasm allow our attorneys, policy consultants and legal staff to stay ahead of our clients’ needs and provide them with the resources they require to meet their business objectives.

It’s a contagious energy here. We attract the top professionals from around the country because few places provide better opportunities to work at such a high level on such meaningful projects. The attorneys, policy consultants and staff here consistently find themselves ranked among the nation’s best and brightest. In law. In politics. And in business. We pass on those skills—and our contagious energy—to our clients, applying all our multi-disciplinary resources to their success.

You’ll see us involved in some of the biggest cases and most significant deals around the country, as well as the most important legislation affecting business in America. But you’ll also see us deeply committed to the communities in which we practice. We donate both our energy and our financial commitment to much-needed charitable causes, pro bono legal cases, community organizations and industry associations. Bettering our world from the inside out—it’s the very core of who we are.

When the stakes are high and conventional solutions are not enough. When your reputation, business or industry is on the line. Our deep experience, multi-disciplinary approach and political connections deliver results. Because today, successful outcomes require more than just practicing law.
